We are looking for a talented transactions attorney to join our dynamic and fast-growing legal team.  In this position, you will work with a top-tier team of senior attorneys, corporate paralegals, finance and accounting professionals, and insurance brokerage business leaders to execute acquisitions and divestitures of small and mid-sized insurance agencies.  You will perform all legal functions in connection with the transaction process, including reviewing, drafting and negotiating transaction documents, performing legal due diligence, collaborating with business leaders on transactional issues, and facilitating closings.  The successful candidate will be client-focused, detail oriented, highly organized, flexible, responsive, and able to grasp and quickly solve issues as they arise. 


  1. Draft, review and negotiate transaction documents related to insurance agency acquisitions and divestitures;
  2. Perform legal due diligence of insurance agency acquisition targets;
  3. Collaborate with the business team to solve transaction issues and mitigate transaction risk; and
  4. Facilitate closings of insurance agency acquisitions and divestitures.


  1. Juris Doctor with 2 to 5 years working as a corporate law/transactions associate in a national or regional law firm, corporate law/transactions in-house counsel, or a combination of both;
  2. Experience reviewing, drafting, and negotiating M&A transaction documents;
  3. Member in good standing of a state bar association;
  4. Excellent analytical, interpersonal, and verbal and written communication skills;
  5. Self-starter, willing to take initiative, highly organized, and detail oriented;
  6. Flexible, business oriented, and able to promptly respond to varying client requirements; and
  7. Strong academic background.


The successful candidate will be required to reside in, or relocate to, the greater Orlando-Lake Mary-Sanford, Florida area.  Additionally, please note that some travel in connection with the performance of the job functions will be required (less than 10%).
